Important notice:
These Terms & Conditions ("Terms") govern your use of TruPod’s software-as-a-service platform and mobile/web applications for discovering, listing, scheduling, and booking experience-based services (including but not limited to play areas, spiritual experiences, wellness and fitness sessions, hobby classes, events, workshops, and similar services) (collectively, the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms.
Regulatory alignment:
These Terms are drafted to align with applicable Indian laws and regulations including, as relevant to the Platform’s role: the Information Technology Act, 2000, the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 as amended, the Consumer Protection Act, 2019 and Consumer Protection (E-Commerce) Rules, 2020, and the Digital Personal Data Protection Act, 2023 ("DPDP Act").
For payments routed via licensed payment aggregators, we also align with RBI Payment Aggregator/Payment Gateway guidelines. Compliance obligations vary by user type and use case; additional terms may apply.
1. Definitions
- User: Any person accessing or using the Platform, including Consumers (who browse/book) and Providers (who list and provide experiences).
- Experience: Any experience-based service listed on the Platform (e.g., play-zone slot, events, meditation session, yoga class, wellness therapy, workshop).
- Booking: A Consumer’s confirmed purchase/reservation for an Experience.
- Service Fee: Fees charged by TruPod for Platform services, shown at checkout or in your Provider dashboard.
- Provider: A business/individual listing Experiences on the Platform.
- Consumer: A user who books/purchases Experiences.
- Applicable Law: All laws, rules, regulations, notifications, and orders in force in India relevant to the Platform, including local laws/permits.
2. Nature of Services; Role of TruPod
- TruPod provides a technology platform for Providers to publish Experiences and for Consumers to discover and book them.
- Unless expressly stated otherwise for a particular Experience, TruPod is not the seller/provider of the Experiences. Providers are independent third parties responsible for their listings, permits, safety, and delivery.
- Where TruPod itself curates or co-hosts an Experience, TruPod’s role for that Experience will be indicated.
- Intermediary/Marketplace: To the extent the Platform facilitates listings, discovery, and bookings by third-party Providers, TruPod acts as an intermediary/marketplace and does not assume liability for Provider acts/omissions, save as required by Applicable Law.
3. Eligibility & Account
- You must be at least 18 years old to create an account and make payments. Accounts for minors must be created/managed by a parent/legal guardian, who consents to and supervises all activity.
- You agree to provide accurate information and to keep credentials confidential. You are responsible for all activity on your account.
- We may verify identity, conduct KYC, and request documents (e.g., permits, insurance) from Providers. We may decline, suspend, or terminate accounts for policy or legal reasons.
4. Listings and Standards
- Accuracy: Providers must ensure that listings are complete, accurate, and not misleading (including price, taxes, inclusions/exclusions, location, age/fitness requirements, contraindications, safety rules, and cancellation/refund terms).
- Permits & Compliance: Providers warrant they have all licenses/permissions (e.g., local municipal licenses for play areas, FSSAI if food is served, health/commercial establishment licenses, safety certificates, and any religious/institutional permissions for spiritual sites).
- Safety & Hygiene: Providers must follow applicable safety, hygiene, accessibility, and capacity norms; maintain equipment; and display onsite rules. Any medical or high-risk activities require appropriate supervision and disclosures.
- No Medical Claims: Wellness/spiritual listings must not make medical claims or substitute for professional medical advice.
- Photos/Media: Providers must have rights to use all images, videos, and materials uploaded.
- Prohibited Content/Experiences: No illegal, dangerous, discriminatory, sexually explicit, or otherwise prohibited content/activities; no wildlife/animal cruelty; no narcotics; no hate speech; no child endangerment.
5. Booking, Pricing, Taxes & Invoices
- Prices are set by Providers (or by TruPod where it is the Provider). Taxes and fees are shown at checkout.
- GST: Providers are responsible for their GST registration, charging correct GST, issuing tax invoices to Consumers, and statutory compliance. TruPod may generate system invoices on the Provider’s behalf as a software facilitator.
- Dynamic Availability: Slots are offered subject to availability. Bookings are confirmed when payment succeeds and you receive a confirmation screen/email/SMS/app notification.
- Ancillaries: Add-ons (e.g., gear rental, lockers) may be priced separately.
- Incorrect Pricing: If a material pricing error occurs, we/Provider may cancel before delivery; any amounts paid will be refunded.
6. Payments, Refunds & Cancellations
- Payment Processing: Online payments are processed by RBI-authorised payment aggregators/gateways. We do not store card data on our servers.
- Settlement: Where required, Consumer payments for third-party Provider Experiences are received in designated accounts/escrow and settled to Providers as per applicable RBI guidelines and contractual timelines.
- Cancellation/Refund Policy: Each listing shows its policy (e.g., free cancellation until X hours, partial refund, or non-refundable). Local laws may entitle Consumers to certain remedies; nothing here limits non-waivable rights.
- No-shows/Late Arrivals: Treated per listing rules; typically non-refundable once the slot start time has passed.
- Provider Cancellations: If a Provider cancels, Consumers are entitled to a full refund or rebooking where feasible.
- Force Majeure: For events beyond reasonable control (e.g., natural disasters, epidemics, government orders), we/Providers may cancel or reschedule; refunds or credits will be as per policy and Applicable Law.
- Chargebacks: We may contest chargebacks; your cooperation and information may be required.
7. Consumer Responsibilities
- Suitability & Health: Assess whether an Experience is suitable for you and companions (age, health, fitness, allergies). Follow onsite instructions and safety rules.
- Conduct: Be respectful; no harassment, vandalism, or unsafe behaviour.
- Children: Where children participate, a responsible adult must accompany them and accept all supervision responsibilities as specified by the Provider.
- Personal Belongings: You are responsible for your belongings unless a Provider expressly offers secure storage.
8. Provider Responsibilities
- Deliver Experiences as described, on time, and with due skill and care.
- Maintain insurance appropriate to the Experience (e.g., public liability).
- Promptly communicate changes/cancellations; process refunds per policy.
- Keep customer data confidential and use it only for booking fulfilment as permitted by law and these Terms.
9. Reviews, Ratings & User Content
- You grant us a non-exclusive, worldwide, royalty-free licence to host, store, display, and use any content (reviews, photos) you submit, for Platform operations and promotion.
- Content must be lawful, respectful, and truthful; do not post personal data of others without consent.
- We may moderate or remove content that violates these Terms or law.
10. Acceptable Use & Platform Rules
- Do not misuse the Platform, probe/scan systems, reverse engineer, introduce malware, or scrape without consent.
- Do not bypass fee/payment flows.
- Do not infringe intellectual property or privacy rights.
- Do not list or book Experiences that are illegal or violate third-party rules (e.g., venue rules, temple/ashram policies).
- Report vulnerabilities via our designated channel.
11. Privacy & Data Protection (DPDP Act)
- We act as a Data Fiduciary for personal data we collect from Users. For Provider-managed data (e.g., attendee lists), the Provider may also be an independent Data Fiduciary.
- Lawful basis & Notice: We process personal data based on your consent or other lawful grounds (e.g., to fulfil bookings, prevent fraud, comply with law). Our Privacy Notice describes categories of data, purposes, retention, your rights (access, correction, deletion, grievance), and contacts.
- Children’s Data: For Users under 18, we require guardian consent and implement age-gating/verification mechanisms as required by law.
- Consent Management: You may manage or withdraw consent via account settings or designated mechanisms.
- Data Security: We implement reasonable security safeguards. We notify relevant authorities/users of reportable personal-data breaches as required by law.
- Processors/Sub-processors: We may engage third-party service providers (cloud, SMS/email, analytics, payments) under appropriate contracts.
- Cross-border Transfers: Where permitted by law, we may transfer data internationally subject to legal requirements.
- Grievance & Data Requests: See Section 17 for contacts and timelines.
12. Intellectual Property
- TruPod IP: All Platform software, trademarks, and content (excluding User/Provider content) are our proprietary rights.
- You may use the Platform for its intended purpose; no rights are granted other than as expressly stated.
- You must not remove or alter proprietary notices, or use our marks without written permission.
13. Third-Party Services
The Platform may integrate third-party services (maps, payments, communications). Their terms and privacy policies apply, and we are not responsible for their acts or omissions.
14. Disclaimers
- Except where we are the Provider for a specific Experience, we do not warrant the quality, safety, legality, suitability, or availability of Experiences offered by third-party Providers.
- For wellness/spiritual activities: no medical diagnosis, cure, or guaranteed outcomes are provided. Consult qualified professionals before engaging in activities with health implications.
- The Platform is provided on an "as is" and "as available" basis subject to Applicable Law.
15. Liability & Indemnity
- To the maximum extent permitted by law, our aggregate liability arising out of or in connection with these Terms or the Platform shall be limited to the greater of (a) the Service Fees you paid to us for the transaction giving rise to the claim during the ____ months preceding the event, or (b) INR ________. This does not limit liability that cannot be limited under law (e.g., death or personal injury caused by proven negligence).
- You agree to indemnify and hold harmless the Company and its officers/employees against third-party claims arising from your breach of these Terms, violation of law, or infringement of rights.
16. Suspension & Termination
We may suspend or terminate accounts or listings that violate these Terms, our policies, or law, or that pose risk to Users. You may close your account; certain obligations (payments, taxes, IP licences, dispute clauses) survive termination.

18. Consumer Protection & E-Commerce Disclosures

- Return/Refund Mechanism: Initiate via the app/web or support; refunds are credited to the original payment method unless otherwise permitted.
- Affirmation: No unfair trade practices or misleading advertisements will be carried on the Platform.
19. Payments & RBI Compliance
- We partner with RBI-authorised Payment Aggregators for online payments. Such partners handle card data and settlements as per RBI directions.
- KYC & Onboarding: Providers may need to complete KYC and provide bank, tax, and compliance information before payouts.
- Escrow/Settlement: Where required, funds are settled to Providers per regulatory timelines and contract terms.
- Prohibited Transactions: We may block/refund transactions that are suspicious, fraudulent, or unlawful.
20. Taxes
Users and Providers are responsible for compliance with applicable taxes (GST, TCS/TDS where applicable). We may deduct/collect taxes if required by law and provide necessary statements.
21. Local Laws, Venue Rules & Access
Certain Experiences may be subject to local restrictions (e.g., dress codes for spiritual sites, age/height for play areas, safety briefings). Users must comply with all such rules to participate.
22. Force Majeure
Neither party will be liable for delays/failures due to events beyond reasonable control (including acts of God, epidemics, government actions, network outages). Obligations resume when the event ceases.
23. Changes to Terms
We may update these Terms from time to time. Material changes will be notified via the Platform. Continued use after the effective date constitutes acceptance.
24. Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Subject to any mandatory dispute resolution processes under law, the courts at New Delhi, India shall have exclusive jurisdiction. We may offer internal escalation and online mediation before litigation.

Data Processing Agreement (DPA)
1. Purpose
This DPA sets out the terms under which the Processor will process Personal Data (as defined below) on behalf of TruPod in connection with services provided under the Main Agreement.
2. Definitions
- "Applicable Law" means the Digital Personal Data Protection Act, 2023 ("DPDP Act"), rules issued thereunder, the Information Technology Act, 2000, the Information Technology (Reasonable Security Practices and Procedures and Sensitive Personal Data or Information) Rules, 2011, RBI guidelines (where applicable), and any other relevant Indian laws.
- "Data Principal" means an individual to whom the Personal Data relates.
- "Personal Data" means any data relating to a Data Principal as defined under Applicable Law.
- "Processing" means any operation performed on Personal Data including collection, storage, use, disclosure, transfer, or deletion.
3. Scope of Processing
- Categories of Personal Data: name, contact details, age, gender, booking details, identifiers, financial/payment details, location, and in some cases wellness or spiritual preference data.
- Sensitive Personal Data (e.g., health-related, spiritual preferences) will only be processed where strictly required, with explicit consent of the Data Principal obtained via TruPod, and disclosed to the Processor in advance.
4. Processor Obligations
- Process Personal Data only on documented instructions from TruPod.
- Ensure persons authorized to process Personal Data are bound by confidentiality.
- Implement appropriate technical and organizational measures to ensure security.
- Assist TruPod in fulfilling obligations towards Data Principals (access, correction, erasure, withdrawal of consent).
- Notify TruPod of any personal data breach as soon as practicable and no later than 48 hours after becoming aware of it.
- Assist TruPod in making any legally required notifications to the Data Protection Board of India and affected Data Principals.
- Allow audits or inspections by TruPod or appointed auditors not more than once in 12 months, unless there is a material breach.
- Not engage sub-processors without TruPod’s prior written consent.
- Delete or return all Personal Data upon termination of the Main Agreement.
5. Data Fiduciary Obligations (TruPod)
- Obtain valid, informed consent from Data Principals where required.
- Provide privacy notices in compliance with Applicable Law.
- Act as the Data Fiduciary with respect to the Processing of Personal Data.
6. Cross-Border Data Transfers
- To jurisdictions permitted under Applicable Law; and
- With appropriate safeguards (e.g., standard contractual clauses, explicit consent of the Data Principal).
7. Liability
- The Parties agree that liability under this DPA shall be governed by the Main Agreement.
- However, no limitation of liability shall apply to wilful misconduct, gross negligence, or breaches of confidentiality/data protection obligations.
8. Indemnity
Each Party shall indemnify and hold the other harmless against any fines, penalties, or claims arising from its breach of this DPA or Applicable Law.
9. Term
This DPA shall remain in effect for as long as the Processor processes Personal Data on behalf of TruPod.
10. Governing Law
This DPA shall be governed by and construed in accordance with the laws of India. Disputes shall be subject to the exclusive jurisdiction of courts at New Delhi.
